Due diligence service (for buyers) includes thorough review of all assumed agreements, including building and lease agreements, employment agreements, vendor and customer agreements, together with any settlement agreements, etc. Diligence services can also include operational review, renegotiation of any assumed agreements, and any other ad hoc need.
Deal Negotiation
Deal negotiation services include participating with the client in the deal structure with the other party. This process will sometimes include involvment from the other party's counsel, but is generally performed by business personnel; in any event, I can add value to the process.

Contract drafting services include assistance with deal negotiation, working with opposing counsel to prepare the deal document (e.g., stock purchase or asset purchase agreement). Contract services also include preparation of any ancillary agreements (e.g., management service agreement) necessary to maximize the opportunity for the client.

Entities may be corporations, limited liability companies, professional limited liability companies, limited partnerships, or any lawful entity type allowed in the applicable jurisdiction. Formation services also include preparation of corporate bylaws or operating agreement.
Corporate Governance
Corporate governance services include updating corporate bylaws or operating agreements to reflect any changes in the organization. Other services include corporate minutes entry drafting, preparation and filing of any annual reports for the applicable Secretary of State's office.
